1. Acceptance of Terms
By accessing or using the Viralyads platform (the "Platform"), available at viralyads.com, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.
Viralyads is owned and operated by Blackie Networks ("Company", "we", "us", or "our"). If you do not agree to these Terms, do not access or use the Platform.

3. Eligibility
To use the Platform you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts in your jurisdiction
- Not be prohibited from using the Platform under applicable law
- Provide accurate, truthful registration information
- Maintain only one account per person or legal entity
For Brand/Client accounts, the person registering must have authority to bind the business entity to these Terms. We reserve the right to verify identity and eligibility at any time.
4. Account Registration & Security
You must provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You agree to notify us immediately at support@viralyads.com if you suspect any unauthorised access to your account.
We reserve the right to refuse registration, terminate accounts, or remove content at our sole discretion where these Terms are violated.
Accounts that have been inactive for more than 24 consecutive months may be archived. We will provide 30 days' email notice before archiving.
5. Creator Terms
5.1 Slot Claiming
- Slots are allocated on a strict first-come, first-served basis. Claiming a Slot creates a binding commitment to fulfil it.
- You may hold a maximum of 3 active Slots simultaneously.
- Slots have a reservation window. If you fail to submit Day 0 proof within the reservation period, your Slot will be automatically released and your reservation forfeited.
- You must visit the Brand's website before filming your content. Website visits are tracked via your unique Slot code.
5.2 Content Requirements
- Content must be authentic and reflect a genuine interaction with the Brand's product or website.
- You must post on all platforms specified in the Campaign brief (TikTok, Facebook, and/or Instagram).
- All posts must remain publicly visible and live for the full campaign duration (minimum 3 days from Day 0).
- Posts must include the tracking element specified in the Campaign brief (e.g., mention of the brand or product URL).
- You must submit a screenshot on Day 0 (posting day) and again on Day 2 confirming the post is still live.
- Screenshots must be authentic — AI verification detects manipulated or fabricated images.
5.3 Payout Eligibility
- Payouts are released on Day 3 following successful AI verification of both Day 0 and Day 2 submissions.
- You must have a valid PayPal account linked to your profile to receive payouts.
- Disputed or flagged Slots will be reviewed by the Viralyads moderation team within 5 business days.
- Payouts are denominated in USD. Currency conversion for M-Pesa payouts uses the prevailing Safaricom exchange rate at the time of disbursement.
- Viralyads is not responsible for PayPal fees, currency conversion losses, or delays caused by third-party payment processors.
5.4 Creator Score
Your Creator Score reflects your reliability and submission quality. A higher score may unlock access to higher-value campaigns or priority Slot access. Actions that negatively affect your score include: late submissions, posts taken down before the end of the campaign period, flagged screenshots, and account violations.
5.5 Taxes
You are solely responsible for determining, reporting, and paying any taxes applicable to payments you receive through the Platform in your jurisdiction. Viralyads and Blackie Networks do not withhold taxes on Creator payouts unless required by law.
6. Brand / Client Terms
6.1 Campaign Creation
- You must provide an accurate Campaign brief, including a working product URL that Creators will visit.
- Campaigns that promote illegal products, services, or activities will be rejected without refund.
- Viralyads reserves the right to decline or remove any Campaign that violates these Terms or our content standards.
- Once a Campaign is activated and Slots begin to be claimed, material changes to the brief require approval from Viralyads support.
6.2 Campaign Funding & Escrow
- Campaigns must be fully funded before becoming active. Payment is accepted via Stripe (cards) or M-Pesa Daraja.
- All Campaign funds are held in escrow by Viralyads until Creator payouts are verified and released.
- The Campaign budget is composed of Creator payouts plus a Platform fee. The Platform fee is non-refundable once a Campaign is activated.
- Unused escrow (unfilled Slots) is refunded within 14 business days following Campaign completion.
- Disputed payouts may be held in escrow for up to 10 business days pending resolution.
6.3 Campaign Analytics
You will receive access to a Campaign analytics dashboard showing: verified post count, total estimated impressions, real website visits driven by Creators, AI verification logs, and escrow reconciliation. Impression figures are estimates based on Creator account data and platform averages — they are not guaranteed metrics.
6.4 Cancellation
Campaigns may be cancelled before any Slots are claimed for a full escrow refund. Once Slots are claimed, cancellation is subject to our refund policy: Brand receives a refund only for Slots that have not yet been submitted. Slots in progress or completed are non-refundable.
7. AI Verification
Viralyads uses AI-powered tools (including third-party models) to verify that Creators' submitted screenshots and post URLs meet Campaign requirements. By using the Platform:
- Creators consent to their submitted screenshots being processed by AI for verification purposes.
- AI decisions are not final — rejected Slots can be escalated to human moderation by emailing support within 48 hours.
- Attempts to manipulate or fabricate AI verification (e.g., edited screenshots, AI-generated fake posts) constitute fraud and will result in immediate account suspension and forfeiture of all pending payouts.
- Brands acknowledge that AI verification provides strong but not absolute assurance; Viralyads will investigate any disputed verification within 5 business days.
8. Payments, Escrow & Fees
All monetary transactions on the Platform — including campaign funding, escrow management, and Creator payouts — are processed by Viralyads on behalf of Blackie Networks using authorised third-party payment processors (Stripe, M-Pesa, PayPal, Paystack).
Platform Fee: Viralyads charges a platform fee on each Campaign. The fee is displayed transparently during campaign creation. It is non-refundable once the Campaign is activated.
Payout Timeline: Creator payouts are processed automatically on Day 3 following verification. Delays may occur due to payment processor processing times, weekends, or public holidays — Viralyads is not liable for such delays.
Failed Payouts: If a payout fails due to an incorrect PayPal email or rejected M-Pesa number, the Creator has 14 days to provide a correct payment detail. After 14 days, the payout may be forfeited.
Fraud: Viralyads reserves the right to withhold or reverse payouts where fraud is suspected, pending investigation. Fraudulently obtained funds will be recovered and the account permanently suspended.
9. Content Standards
All content created by Creators and submitted to the Platform, including campaign posts on social media, must comply with the following standards:
Lawful content
Content must not violate any applicable law, including copyright, defamation, consumer protection, or advertising standards.
Honest advertising
Posts must not make false claims about products or services. Creators are responsible for compliance with local advertising disclosure requirements (e.g., labelling sponsored content).
No harmful content
Content must not be violent, hateful, sexually explicit, discriminatory, or otherwise harmful.
Platform compliance
Content must comply with the terms of service of TikTok, Facebook, Instagram, and any other platform on which it is posted.
Authenticity
Content must reflect a genuine, personal interaction with the Brand's product or service. Scripted, copy-pasted, or AI-generated content that does not reflect real interaction is prohibited.
10. Intellectual Property
10.1 Viralyads IP
The Viralyads name, logo, platform design, software, and all associated content are the intellectual property of Blackie Networks. You may not copy, reproduce, distribute, or create derivative works without our express written permission.
10.2 Creator Content
You retain all rights to the original content you create. By submitting content through the Platform, you grant Viralyads and the relevant Brand a non-exclusive, royalty-free licence to use submitted screenshots and post URLs for the purposes of campaign verification, analytics, and reporting. Brands may not use Creator content for purposes beyond the Campaign without the Creator's separate written consent.
10.3 Brand Content
Brands retain ownership of their campaign briefs, brand assets, and product information. By submitting these to the Platform, you grant Viralyads a licence to share them with Creators for campaign fulfilment purposes.
11. Prohibited Activities
The following are strictly prohibited on the Platform:
12. Suspension & Termination
Viralyads may suspend or permanently terminate your account, with or without notice, if you:
- Violate any provision of these Terms
- Engage in fraudulent, deceptive, or illegal activity
- Submit fabricated verification materials
- Abuse the dispute or refund process
- Pose a risk to the security or integrity of the Platform
Upon termination, pending payouts for legitimately verified Slots will be processed within 14 business days. Payouts for Slots under fraud investigation may be withheld until the investigation concludes.
You may close your account at any time by contacting support@viralyads.com. Account closure does not affect pending obligations or rights accrued prior to closure.
13. Limitation of Liability
To the maximum extent permitted by applicable law:
- Viralyads and Blackie Networks will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
- Our aggregate liability to you for any claim arising out of or relating to these Terms or the Platform will not exceed the greater of: (a) the total amount paid by you to Viralyads in the 12 months preceding the claim, or (b) USD $100.
- We are not responsible for the actions of third-party payment processors, social media platforms, or other users of the Platform.
- We do not guarantee that the Platform will be available at all times or free from errors. We will notify users of planned downtime where possible.
- Impression and reach figures provided in campaign analytics are estimates and are not guaranteed.
Some jurisdictions do not allow exclusions of certain warranties or limitations on liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Blackie Networks, its directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Platform; (b) your violation of these Terms; (c) your violation of any third party's rights, including intellectual property rights; or (d) any content you submit, post, or transmit through the Platform.
15. Dispute Resolution
15.1 Informal Resolution
If you have a dispute with Viralyads, please contact us first at support@viralyads.com. We will attempt to resolve disputes informally within 30 days.
15.2 Payout Disputes
Creators who believe their Slot was incorrectly rejected by AI verification may escalate the dispute within 48 hours of rejection by emailing support with their Slot code and explanation. Our moderation team will review within 5 business days.
15.3 Arbitration
Any dispute that cannot be resolved informally shall be settled by binding arbitration in accordance with the rules of the relevant arbitration body in the applicable jurisdiction. Class actions are waived to the extent permitted by applicable law.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions. To the extent permitted by law, you consent to the exclusive jurisdiction of the courts of Kenya for any disputes arising under these Terms that proceed to litigation.
17. Changes to Terms
We may revise these Terms at any time. When we make material changes, we will:
- Update the "Last updated" date at the top of this page
- Notify registered users by email at least 14 days before changes take effect
- Display a notice within the Platform
Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance. If you do not agree, you must stop using the Platform and close your account.
